These Terms govern your use of https://xinyuegifting.com (Site) and our B2B gifts and custom packaging services. By registering an account or placing an order you agree to be bound by these Terms.
The Site and the Xinyue Gifting brand are operated by Shanghai Xinyuefang Arts & Crafts Co., Ltd., a company registered in the People's Republic of China. That entity is the contracting party for all orders, quotations and proforma invoices issued through the Site.
1. Eligibility
The Site is intended for registered businesses. Individuals must be at least 18 years old. We may require KYC / KYB documents before accepting orders.
2. Products and Pricing
All prices, quotations, proforma invoices and payments are in US dollars (USD) only; we do not currently sell or settle in other currencies. Any conversion your bank, card issuer or wallet applies, together with the resulting exchange rate and cross-border fees, is a matter between you and that provider. Minimum order quantities (MOQ) and tiered pricing apply as stated on each product page. Catalogue prices exclude taxes, duties and freight unless explicitly marked otherwise; the binding price and payment schedule for an order are those stated on the proforma invoice we issue against your accepted quotation.
3. Orders and Payment
- Placing an order or accepting a quotation is an offer; a contract is formed only when we confirm it. We may accept, decline, or partially fulfill any order.
- Payment is required before shipment, either by card or digital wallet through PingPong, or by T/T bank transfer to the account stated on the proforma invoice.
- Larger orders may be split into a deposit and a balance payment (typically 30% / 70%); production starts after the deposit clears and goods ship after the balance clears.
- For T/T payments the buyer uploads the wire receipt on the order page; we reconcile against our bank record and confirm within 1-3 business days. Bank charges on the sender side are borne by the buyer.
- We may request KYC / KYB documents (business licence, tax registration) before accepting an order, and may decline transactions that fail sanctions or fraud screening.
4. Shipping and Delivery
Shipping is handled by YunExpress and its carrier partners (DHL / FedEx / UPS / etc.); we may use an alternative forwarder of comparable service where a lane is unavailable. Estimated delivery times are guidelines and not guaranteed, and risk passes to the buyer according to the Incoterm stated on the proforma invoice (FOB / CIF / DDP). Unless the order is expressly quoted DDP, the buyer bears customs duties, VAT and import taxes at destination, and is responsible for providing accurate consignee and customs information.
5. Returns and Refunds
Please inspect goods on arrival and notify us of any shortage, damage or defect within 14 days of delivery, with photos and your order number. For confirmed quality issues we will repair, replace, re-make or refund the affected units at our option. Custom and OEM products made to your approved sample or artwork cannot be returned for change of mind, and minor variation in colour, print position or size within agreed tolerances is not a defect. Refunds are made in USD for the amount actually received, via PingPong through the original channel, or for T/T by wire back to the buyer's account of record; bank or wallet fees and any exchange loss on the buyer's side are not reimbursed.
6. Intellectual Property
All Site content (logos, product descriptions, images) is owned by Xinyue Gifting or its suppliers. You may not scrape, resell, or reproduce content without written permission.
7. Limitation of Liability
To the maximum extent permitted by law, Xinyue Gifting is not liable for indirect, consequential, or incidental damages. Total liability shall not exceed the amount paid for the order in question.
8. Governing Law
These Terms are governed by the laws of the People's Republic of China (excluding conflict-of-law rules). The parties will first attempt to resolve any dispute through good-faith negotiation; failing that, disputes are subject to the competent courts of Shanghai, where our operating entity is registered, unless mandatory local law provides otherwise.
9. Changes
We may update these Terms from time to time; the Last Updated date at the top of this page will change accordingly. Your continued use of the Site after an update constitutes acceptance of the revised Terms. Orders already confirmed remain governed by the Terms in force when they were confirmed.
